User Agreement

TORTOOGA USER AGREEMENT

Effective Date: January 15, 2025

BY CLICKING "I AGREE," CHECKING THE BOX, OR CREATING AN ACCOUNT ON THE TORTOOGA PLATFORM, YOU ("USER") AFFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THE TERMS AND CONDITIONS SET FORTH IN THIS USER AGREEMENT. IF YOU DO NOT AGREE, DO NOT REGISTER OR USE THE PLATFORM.

This Agreement is entered into by and between Tortooga Inc., a Delaware corporation ("Tortooga," "we," "us," or "our"), and you, the User ("you" or "your"), whether registering as a Shipper or Carrier.

1. PLATFORM ROLE

• Tortooga is a neutral transactional platform connecting Shippers and Carriers.
• Tortooga is NOT a broker, freight forwarder, carrier, or dispatcher.
• Tortooga does NOT coordinate or guarantee any shipments.

2. CARRIER RESPONSIBILITIES

• Carriers must be licensed, bonded, and insured.
• Carriers assume ALL liability for cargo condition, safety, and claims.
• Carriers must maintain accurate profile and insurance data.

3. SHIPPER ACKNOWLEDGMENTS

• Shippers assume all risks related to carrier selection and shipment outcomes.
• Tortooga is not liable for cargo loss, damage, delay, or misrepresentation.
• Shippers waive all claims against Tortooga related to shipment performance.

4. LIMITATION OF LIABILITY

• Tortooga's total liability shall not exceed $100 USD.
• Users agree to indemnify and hold harmless Tortooga from all claims, losses, or disputes related to Platform use.

5. USER CONDUCT

• Provide accurate info and comply with all laws.
• No fraud, misrepresentation, or off-platform booking.
• Tortooga reserves the right to suspend/terminate accounts.

6. GOVERNING LAW & DISPUTES

• Delaware law governs this Agreement.
• All disputes shall be resolved via binding arbitration in Delaware.
• Class action rights are waived.
